WHO WE ARE
A lot in society rests on things we rarely think about. Water that needs to flow, heating that must work, energy systems that must be secure, and processes that cannot stop. At Sertion, we gather the companies that design, construct, build, and maintain these systems – advanced piping infrastructure, energy solutions, process environments, and complex VS installations that keep hospitals, industries, properties, and entire communities running. We work in some of the most demanding environments in the Nordics: from district heating and technical supply to pharmaceuticals, bioprocessing, and food production.
Sertion is a young and fast-growing group that brings together entrepreneur-led and locally anchored companies full of professional pride. Here, there is craftsmanship, pace, and a culture of helping each other. All companies that become part of Sertion retain their name and identity – while we build something new together. And it’s moving fast!
In just one year, we have acquired nearly 20 companies across the Nordics and together we are about 900 employees. Entrepreneurs choose us precisely because we preserve their drive and build synergies – not bureaucracy. With us, you can continue to develop your businesses while being part of building something strong together with like-minded individuals. Therefore, at the group level, we are a small team that works closely with the companies and supports where we can be most useful. This is how we build Sertion: simply, quickly, and together. THIS IS THE ASSIGNMENT
We have ambitious growth targets, and a driving force in that journey is acquisitions, both in the Nordics and in new markets in Europe. To continue growing at a high pace, the legal work needs to be coordinated at the group level, both in new deals and in the companies we already own. As our corporate lawyer, your mission is to:
Ensure that previous acquisitions are fully integrated
After each deal, there are commitments that need to be fulfilled. You take a comprehensive approach based on the DD reports, prioritize, and ensure that outstanding issues are addressed. This may involve harmonizing employment contracts, customer and supplier agreements, or ensuring that GDPR and other compliance issues are at the right level.
Drive the legal work in new acquisitions
We are commercially and financially strong internally and currently work with external lawyers in transactions. As our internal corporate lawyer, you are responsible for how the legal process should look during acquisitions and then drive that work. This means project managing external advisors, participating in contract negotiations, and ensuring that the terms of the business are given the right legal form. After the acquisition, you follow up and ensure that the integration lands as planned.
Take responsibility for the group's corporate legal matters
In addition to acquisitions, you are responsible for corporate formalities and all ongoing legal work. This means handling board and general meeting documentation, signing authority, minor share transactions, and administration related to incentive programs. You ensure that the corporate documentation is correct, updated, and consolidated – even as the group grows across multiple countries and legal entities.
Establish principles for how the group is legally governed
The independence of the subsidiaries is important to us. At the same time, there are issues where a common structure is crucial. You drive the work to define where that line is drawn. When should group-wide agreements be used? When are group decisions required? When should companies be merged to simplify the structure? It’s about establishing a common level that makes the group more robust for continued growth, without removing the entrepreneurial drive that built the business.
Be a business-oriented support
You are a qualified sounding board in legal matters and help the businesses make well-thought-out decisions. The role is not just about identifying risks but about assessing them. What is manageable? What is business-critical? What can we live with – and what should we not accept? With clear recommendations and sound judgment, you contribute to ensuring that the business can move forward on the right foundation. You also decide when something can be handled internally and when external specialists should be brought in.
You are part of our finance team, report to Sertion's CFO, and are based in Stockholm.
THIS IS YOU
This is for you who thrive at the intersection of business, finance, and law, and who are excited about Sertion's corporate journey. Those who succeed in the assignment and thrive with us are:
Experienced in M&A and corporate law
You have worked with corporate acquisitions, either at a law firm or as an in-house lawyer at a company. This means you understand the entire process, from letters of intent and due diligence to contracts, closing, and follow-up. You are comfortable with share transfer agreements and understand how legal terms affect structure, price, and risk. At the same time, you are equally at home in the administrative daily life of corporate law with board minutes, signing authority, registrations, and ongoing corporate formalities.
Business-oriented in your legal approach
For you, law is part of the business, not a control function on the side. You are comfortable in dialogue with CEOs and management and can discuss risk in relation to commercial goals.
Independent and proactive
As a person, you are driven and ensure that things move forward. You thrive in environments where a lot is happening and are perfectly fine with not being able to do everything at once. Instead, you prioritize what is most important and know when something is good enough to move forward. Progress over perfection is your motto.
A corporate builder
You gain energy from being part of creating something new. Uncertainty at the beginning does not scare you – you see it as an opportunity to help shape how things should work. Gradually raising the level and seeing the whole grow is more suitable for you than managing something that is already fully completed.
AIM'S REFLECTIONS
It is rare to step into a group that is growing at this pace. What makes the assignment particularly interesting is the balance. The person needs to thrive in the tension between entrepreneurial drive and order. Too much control creates resistance. Too little structure creates risk. Here, judgment is required – and an ability to determine what truly needs to be regulated and what can be left untouched.
This is an assignment where you own the ongoing legal work, use external advisors where it makes sense, and ensure that the group stays legally cohesive as it grows.
