Are you a lawyer with an interest in and experience of M&A, financing and transaction processes? Are you looking for an exciting role with significant personal responsibility and influence? We are now looking for another Legal Counsel to join the bank's corporate legal department.
ABOUT THE ROLE
As a Legal Counsel focusing on transactional law, you will work with legal issues and project management related to the bank's acquisitions, divestments, investments, and other strategic transactions. The role includes, among other things, the purchase and sale of loan portfolios, acquisitions of companies and businesses, structured transactions, and other business initiatives where legal expertise is central to the execution. You play a central role throughout the lifecycle of transaction processes and work closely with large parts of the bank, including management, business areas, finance, compliance, risk, operations, IT, treasury, and external advisors. As part of the role, you will also be involved in other legal work within the corporate legal department, such as assisting the bank's business areas and operational functions with drafting agreements, reviewing contracts, negotiations, and providing other legal advice and navigating the regulatory landscape in which the bank operates.
In your work, you are responsible for leading and coordinating transaction processes, negotiating transaction agreements and related documentation, and handling legal issues related to acquisitions within regulated activities. Both in relation to project management and other tasks, you ensure that relevant legal aspects are identified, analyzed, and managed, and you develop and ensure that decision-making materials, contractual documentation, and execution maintain high quality. The work involves both strategic assessments and practical handling of complex legal issues in close collaboration with internal stakeholders and external parties.
You will become part of the bank's engaged corporate legal team consisting of 10 competent colleagues and report to the General Counsel.
The position is located at Norion Bank's offices in Gothenburg or Stockholm.
ABOUT YOU
We are looking for you who have a Master of Laws degree (Jur. Cand.) and at least three years of professional experience as a lawyer within M&A, financing, and transaction processes, preferably from a law firm and/or a bank. You have good knowledge of corporate law, contract law, and preferably also financial law. You thrive in taking the lead in your work and are an experienced project manager. Experience from banking or other regulated activities is meritorious.
As a person, you are business-oriented and communicative. You are meticulous, structured, and efficient in your approach to work. You have good collaboration skills and enjoy taking a broad approach to the bank's transactions from start to finish. Personal suitability is highly valued.
